Mr. Guan Youping, born in May 1967, joined CHTC Fong’s Int on 18 October 2019 and is currently an Executive Director and the Chairman of the Board of the Company. Mr. Guan is also the Chairman of the Nomination Committee and a member of the Remuneration Committee of the Company. Mr. Guan holds a Bachelor’s degree in Machinery Manufacturing Technology and Equipment from Tianjin Institute of Textile Science and Technology (天津纺织工学院) (currently known as Tianjin Polytechnic University (天津工业大学)) and a Master’s degree in Management Science and Engineering from the University of Science and Technology Beijing (北京科技大学). He is a senior engineer. Mr. Guan has over 30 years’ working experience in the textile industry and in-depth knowledge in the features of products, markets and operations of the textile machinery industry. Mr. Guan also has extensive practical experience in corporate lean production, technology research and development, marketing and operation management.

Mr. Chen Peng, born in October 1972, joined CHTC Fong’s Int on 4 March 2022. Mr. Chen is currently the Executive Director and General Manager of the Company. Mr. Chen is also a member of the Nomination Committee and a member of the Remuneration Committee. He is primarily responsible for overseeing the overall operations of the Company. Before joining the Company, Mr. Chen had held served several positions at Changde Textile Machinery Company Limited (常德纺织机械有限公司), a corporation affiliated with China Hi-Tech Group Corporation (中国恒天集团有限公司) since 1992, with general manager as his last position.

Mr. Fong Kwok Leung, born in December 1961, is the eldest son of Mr. Fong Sou Lam. Mr. Fong holds a Bachelor’s degree in Business Administration from Simon Fraser University, Canada. He joined the Company in 1986 and was appointed as an Executive Director of the Company on 25 July 1990. Mr. Fong had been responsible for overseeing the stainless steel trading and stainless steel casting businesses of the Company for a long time. With effect from 1 October 2016, Mr. Fong, the Executive Director, was re-designated as a Non-executive Director of the Company.

Mr. Tong Wing Chi, aged 43, has been appointed as an Independent Non-executive Director, the chairman of the Audit Committee, and a member of the Remuneration Committee and the Nomination Committee of the Company with effect from 1 March 2022. Mr. Tong has also been appointed as the Lead INED of the Company with effect from 1 January 2025. Mr. Tong obtained a Bachelor of Arts (Honors) degree in Accountancy from The Hong Kong Polytechnic University in November 2004 and has been a member of the Hong Kong Institute of Certified Public Accountants since September 2008. Mr. Tong has extensive experience in auditing, accounting and financial reporting. Mr. Tong has been the managing director of Victory Success Consulting Limited since July 2018, Mr. Tong has been an independent non- executive director of Gaoyu Finance Group Limited (a company listed on GEM of The Stock Exchange of Hong Kong Limited (the “Stock Exchange”), stock code: 8221) since 6 October 2021 and an independent non-executive director of Yida China Holdings Limited (a company listed on the Main Board of the Stock Exchange, stock code: 3639) since 13 January 2025. Mr. Tong had served as an independent non- executive director of Greater Bay Area Dynamic Growth Holding Limited (a company listed on the Main Board of the Stock Exchange, stock code: 1189) from 19 September 2022 to 24 August 2023.

Dr. Jiang Gaoming, born in September 1962, has been appointed as an Independent Non-executive Director of the Company since 1 March 2022. He is also a member of the Audit Committee, a member of the Nomination Committee and a member of the Remuneration Committee. Dr. Jiang has a Bachelor’s degree in Textiles from the School of Textiles at Wuxi Institute of Light Industry (无锡轻工业学院), a Master’s degree in Textiles from the School of Textiles and Clothing at Wuxi University of Light Industry (无锡轻工大学纺织服装学院) and a Doctoral degree in Textiles from the School of Textiles at Donghua University (东华大学). He is currently a professor in the School of Textile Science and Engineering at Jiangnan University (江南大学), the director of the Engineering Research Center of the Department of Education for Knitting Technology at Jiangnan University, and the director of the Institute of Knitting Technology at Jiangnan University. He has long been engaged in the research on textile equipment intelligence and new textile structural materials.

Dr. Chen Ying, aged 61, has been appointed as an Independent Non-executive Director, the chairman of the Remuneration Committee, and a member of the Audit Committee and the Nomination Committee of the Company with effect from 1 March 2024. Dr. Chen obtained a Bachelor’s degree in Dyeing and Finishing Engineering from Donghua University (東華大學) (formerly known as Huadong Textile Institute (華東紡織工學院) in 1985, a Master’s degree in Textile Chemistry and Dyeing & Finishing Engineering from Donghua University (東華大學) in 1991 and a Doctoral degree in Textile Chemistry and Dyeing and Finishing Engineering from Donghua University (東華大學) in 2007. From 2013 until his retirement in February 2024, Dr. Chen served as the professor in the College of Chemistry, Chemical Engineering and Biotechnology of Donghua University (東華大學), engaged in the teaching and scientific research of textile chemistry and dyeing and finishing engineering for a long time, focusing on the combination of theory and practice, undertaking and completing more than 50 scientific research projects, with long-term cooperation experience with enterprises, and published more than 100 scientific research papers; published 7 textbooks or professional reference textbooks, of which the “Dyeing and Finishing Process Experiment Course” (national textbook) won the third prize of China Textile Industry Federation for scientific and technological progress, the textbook “Dyeing Principle and Program Control” won the third prize of China Textile Industry Federation for excellent publications in 2018; the responsible course “Dyeing and Finishing Process Experiment” was awarded the Shanghai Excellent Course; she guided students to participate in the “First National College Students Green Dyeing and Finishing Science and Technology Innovation Competition” and won the first prize.

Mr. Lei Haohui, born in July 1978, joined the Company in November 2019 as the Deputy General Manager. He is primarily responsible for the operation of the Company’s two subsidiaries, Fong’s National Engineering (Guangdong) Co., Ltd. and Fong’s National Engineering (Shenzhen) Co., Ltd. Mr. Lei graduated with a Bachelor’s degree from Zhongyuan University of Technology (中原工学院) majoring in Machinery Manufacturing Technology and Equipment, and is an engineer. Mr. Lei had served as deputy head of the Assembly Workshop and deputy general manager of Tianjin Hongda Textile Machinery Co. Ltd. (天津宏大纺织机械有限公司); the assistant to general manager, deputy general manager, general manager and chairman of Tianjin Textile Machinery Co. Ltd. (天津纺织机械有限责任公司); and deputy general manager and director of Tianjin Hongda Textile Technology Co. Ltd. (天津宏大纺织科技有限公司). Mr. Lei has many years of experience in the textile machinery industry and has in-depth knowledge in its product features. He also has extensive practical experience in production and operation, sales and marketing and management enhancement.

Mr. Wang Zihao, born in April 1968, joined the Company in June 1, 2021. He is a Deputy General Manager of the Company and is primarily responsible for the legal and auditing of the Company. Mr. Wang obtained a Bachelor’s degree from the National University of Defense Technology (国防科技大学), majoring in precision mechanics and apparatus manufacturing, in 1991, and obtained his EMBA from Tsinghua University (清华大学) in 2006. Mr. Wang had been working for Hi-Tech Heavy Industry Co., Ltd. (恒天重工股份有限公司) as a technician of the research institute, engineer, sales director, deputy general manager and chief economist. Mr. Wang has extensive experience in business operation, production safety and lean management.

Mr. Liu Jie, born in April 1989, joined the Company on 10 October 2022 as the Financial Controller of the Company. Mr. Liu is also responsible for managing the operations of the stainless steel casting and stainless steel trading business of the Company. Mr. Liu obtained a Bachelor’s degree in Management from the International College of Qingdao University (青岛大学), majoring in accounting, in July 2011. Mr. Liu has the professional qualification as a member of the Chinese Institute of Certified Public Accountants (中国注册会计师协会). From July 2011 to September 2022, Mr. Liu had been working for Qingdao Hongda Textile Machinery Co., Ltd. (青岛宏大纺织机械有限责任公司), responsible for financial management affairs. He was the head of the Finance Department before he left the company.

Mr. Gunnar Meyer, born in October 1961, has been appointed as the Managing Director of A. Monforts Textilmaschinen GmbH & Co. KG (“German Monforts”), a wholly-owned subsidiary of the Company, from 1 January 2023. Mr. Meyer is mainly responsible for supervising the operations of German Monforts, including its administration, sales and technical services. Mr. Meyer graduated as an industrial clerk and was later enrolled by the Malik General Management Education program. From 1985 to 2010, he had worked for German Monforts in various roles of the sales and business functions, including the General Sales Director. During the period from 2011 to 2018, he had held the position as Area Sales Director for Asian Markets for other well-known German textile machine manufacturers in the non-wovens field, which extended his experience in the field of technical textiles for industrial use.

Mr. Lee Che Keung, born in April 1961 and joined the Company in February 1990, is the company secretary. Mr. Lee graduated from the Hong Kong Polytechnic College (which was subsequently renamed the Hong Kong Polytechnic University) with a professional diploma in Company Secretaryship and Administration. He is an associate member of the Hong Kong Chartered Governance Institute (formerly known as the Hong Kong Institute of Chartered Secretaries), and a member of the Chartered Governance Institute (formerly known as the Institute of Chartered Secretaries and Administrators in England). Mr. Lee is responsible for the Company’s investor relations and the overall corporate secretarial matters of the Company.
